These Terms of Service ("Terms") govern your access to and use of the website located at tobalalabs.com (the "Site") operated by Tobala Labs LLC ("Tobala Labs", "we", "us", or "our"), a software development studio based in Stockton, California. By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Site.

1. About Us & Our Services

Tobala Labs is a boutique software development studio offering custom web and mobile application development, full-stack and SaaS engineering, and related consulting services. The Site is provided for informational purposes — to describe our work, share portfolio examples, and allow you to contact us or schedule a consultation.

The Site itself does not create a client relationship. Any engagement to perform development, design, or consulting work is governed by a separate written agreement (such as a proposal, statement of work, or services agreement) signed by both parties. In the event of a conflict between these Terms and a signed services agreement, the signed agreement controls for that engagement.

2. Eligibility

You must be at least 18 years old and able to form a legally binding contract to use the Site. By using the Site, you represent and warrant that you meet these requirements.

3. Use of the Site

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree that you will not:

• Use the Site in any way that violates applicable laws or regulations;
• Attempt to gain unauthorized access to the Site, its servers, or any connected systems;
• Introduce malware, viruses, or any malicious or harmful code;
• Use automated means (bots, scrapers, crawlers) to access or collect data from the Site, except for standard search-engine indexing;

4. Bookings & Consultations

We offer the ability to schedule a free discovery call or consultation through a third-party scheduling tool embedded on the Site (Apoindy). Booking a call does not create any contract, obligation, or guarantee that we will undertake your project. Either party may reschedule or cancel a scheduled call. Information you submit when booking or contacting us is handled in accordance with our Privacy Policy.

5. Intellectual Property

Unless otherwise stated, the Site and its contents — including text, graphics, logos, the "Tobala Labs" name and branding, page design, layout, and underlying code — are the property of Tobala Labs LLC or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and view the Site for your personal, non-commercial use.

You may not reproduce, distribute, modify, publicly display, or create derivative works from any part of the Site without our prior written consent. Ownership of intellectual property created during a client engagement is governed by the separate written agreement for that engagement, not by these Terms.

6. Portfolio & Third-Party Content

The Site references real projects, clients, and products (including our own product, Apoindy, and client websites). Trademarks, logos, and brand names belonging to third parties remain the property of their respective owners and are used for identification purposes only. The Site may contain links to, or embed content from, third-party websites and services. We do not control and are not responsible for the content, products, or practices of those third parties, and your use of them is at your own risk and subject to their terms.

7. Disclaimer of Warranties

The Site is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, secure, or free of harmful components. Any information on the Site is provided for general purposes only and does not constitute professional, legal, or technical advice.

8. Limitation of Liability

To the fullest extent permitted by law, Tobala Labs LLC and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to your use of (or inability to use) the Site, even if we have been advised of the possibility of such damages. Our total liability for any claim arising out of or relating to the Site shall not exceed one hundred U.S. dollars (USD $100). These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in San Joaquin County, California, and you consent to the personal jurisdiction of those courts.

11. Changes to These Terms

We may update these Terms from time to time. The updated version will be indicated by a revised "Last updated" date at the top of this page. Your continued use of the Site after changes take effect constitutes your acceptance of the revised Terms.

12. Severability & Entire Agreement

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with our Privacy Policy and any applicable signed services agreement, constitute the entire agreement between you and Tobala Labs regarding your use of the Site.
